Prestigious domestic law firm seeks a 3rd or 4th or 5th year Associate Attorney with Health care litigation and regulatory experience to join its Morristown, NJ team.

Candidate will have the following: 3-5 years of experience as a litigation associate within a law firm setting (experience will be current or very recent) ; Experience with health care litigation and regulatory matters ; Substantial experience taking and defending depositions, researching, drafting of pleadings, and handling large-scale document productions ; Ability to manage virtually all forms of disputes, from relatively simple matters to highly complex cases.

Stellar academic credentials (Law Review and/or Moot Court accolades) ; Effective verbal & written communication skills required ; NJ & NY Bars.

Responsibilities include but are not limited to:

-Representing a diverse clientele to include corporate officers, directors, and shareholders in litigation involving matters such as Management and corporate control issues, Shareholder rights, Employment and non-compete agreements, Financial transactions and insurance coverage.

-Providing a full range of legal services to such health-related ancillary organizations as home health care agencies, assisted living facilities, chronic hemo-dialysis facilities, free-standing ambulatory care facilities, ambulance companies, durable medical equipment suppliers, HMOs, PPOs and MSOs.

-on-going analyses of state and federal regulatory trends and proposed legislation.

-Representing clients in disputes and arbitrations before SROs, including FINRA, NASD, NYSE, involving allegations of fraud, self-dealing, churning, breach of fiduciary duty, unauthorized trading, forgery, bribery, conversion, selling away, unsuitability, over-concentration and violations of the Securities Act of 1933 and the Securities Exchange Act of 1934

-counsels hospitals and physicians on the development of business ventures, including structuring the financial and tax aspects of partnership and shareholder agreements.

-Advise clients on reviews for compliance with health planning, licensure, public health, government grant and contract requirements and financing techniques.

-Litigating commercial disputes involving breach of contract claims and business-related torts, such as tortious interference with business and contractual relations and breach of fiduciary duty.

-Managing virtually all forms of disputes, from relatively simple matters to highly complex cases

-Counseling public and private companies in connection with contract disputes, business torts, and disputes involving the Uniform Commercial Code, business dissolutions, and other commercial and financial relationships.

-Responding to and issuing discovery, drafting motions and supporting memoranda, eDiscovery, managing productions, and creating privilege logs.
